Step 1: Amend Your Articles of Organization

You need to draft an Alteracao Contratual (amendment) that specifies the new address. This document must be:

For SLU Companies

The sole owner signs the amendment. The process is the same but with only one signatory.

For EI (Individual Entrepreneur)

The owner files a Requerimento de Empresario with the updated address at the Junta Comercial.

  • Full new address (street, number, complement, neighborhood, city, state, CEP)
  • Statement that this amendment changes only the address (unless other changes are being made simultaneously)

Step 2: Update Your CNPJ with the Receita Federal

After the Junta Comercial approves the amendment, the CNPJ update is typically processed automatically through the Redesim system. However, in some cases you may need to:

  • Submit a DBE (Documento Basico de Entrada) through the Receita Federal website
  • Provide proof of the new address (IPTU, virtual office contract, or lease)
  • Wait for the Receita Federal to issue an updated CNPJ card

  • IPTU certificate of the new address
  • Occupancy contract or lease agreement
  • AVCB fire safety certificate
  • Property owner authorization (if sublease or virtual office)

Same Municipality

If you are staying in the same city, you update your Inscricao Municipal through the Prefeitura’s online system or in person. You typically need:

  • New Contrato Social or amendment registered with the Junta Comercial
  • Proof of the new address

Different Municipality

Moving to a different city is more complex:

  1. Cancel your current Inscricao Municipal in the old city
  2. Apply for a new Inscricao Municipal in the new city
  3. Obtain a new Alvara de Funcionamento from the new municipality
  4. Update your NFS-e system access — you will now issue invoices through the new city’s system

This change also means your ISS rate may change, so discuss the tax implications with your accountant.

Step 4: Update Your State Registration (If Applicable)

Companies with an Inscricao Estadual must notify the state tax authority (SEFAZ):

Same State

Update your address through the SEFAZ portal. The process usually requires the updated CNPJ card and registered amendment.

Different State

Moving between states requires:

  1. Cancellation of the Inscricao Estadual in the old state
  2. New registration with the SEFAZ of the new state
  3. Inventory transfer documentation if you are moving physical stock
  4. New ICMS ST (Substituicao Tributaria) obligations according to the new state’s rules

Interstate moves are significantly more complex and should always be managed by your accountant.

After all government registrations are updated, notify:

  • Banks: Update your PJ account address. Some banks require you to visit a branch
